Terms of Service
The contract rules for business accounts, workspaces, subscriptions and use of SUMS Executive.
1. Agreement and business authority
These Terms govern use of SUMS Executive. By creating or using an account, accepting these Terms, or purchasing a subscription, you agree to them on behalf of yourself and, where applicable, the organization you represent. You confirm that you have authority to bind that organization.
2. Service
SUMS provides business intelligence, data-import, analytics, planning, AI-assisted analysis, workflow and related workspace capabilities. Features may evolve. Pilot, beta or preview functionality may change, be limited or be withdrawn before general availability.
3. Accounts and workspace roles
You are responsible for accurate account information and protecting credentials. Owners and Admins control workspace membership and operational-unit access. Privileged actions may require multi-factor authentication. You must promptly disable access for people who no longer need it.
4. Customer data
As between SUMS and the customer, the customer retains ownership of data and content it provides to SUMS. The customer grants SUMS the limited rights needed to host, process, back up, analyze and transmit that data solely to provide, secure and support the service and as otherwise instructed or legally required.
5. Acceptable use
You must not use SUMS to break the law, infringe third-party rights, introduce malware, probe or exploit systems without authorization, bypass access controls, access another customer’s workspace, overload the service, abuse APIs, scrape restricted areas, or use the service to distribute harmful or fraudulent content. Security research must follow the Responsible Disclosure Policy.
6. Subscriptions and billing
Paid access is governed by the current Subscription & Billing Terms and Refund & Cancellation Policy. Workspace entitlement changes occur only after verified payment-provider confirmation. Plan limits apply to operational units, while internal-user rules are described in the applicable plan. Taxes and payment-provider charges may apply as stated at checkout or on the invoice.
7. AI-assisted outputs
AI-generated summaries, forecasts, classifications and recommendations are decision-support tools, not guarantees. Customers remain responsible for business, financial, employment, legal, safety and operational decisions. Users should review material outputs against source data before acting on them.
8. Security and confidentiality
SUMS will use reasonable technical and organizational safeguards appropriate to the service. Customers must use the security features provided, including MFA where required. Each party must protect the other party’s confidential information and use it only for the agreed relationship, subject to lawful disclosure requirements.
9. Intellectual property
SUMS and its licensors retain rights in the platform, software, interface, documentation, trademarks, models and service technology. These Terms do not transfer ownership of SUMS technology. Feedback may be used to improve the service without identifying the customer as its source.
10. Suspension and termination
SUMS may suspend access where necessary for security, legal compliance, abuse, material breach or unpaid subscriptions after applicable notice/grace periods. Customers may cancel future renewal according to the Billing Terms. Data export/deletion handling after termination is subject to product capabilities, applicable law and agreed retention obligations.
11. Service availability and warranties
SUMS will operate the service with reasonable care but does not promise uninterrupted or error-free availability. Except where mandatory law provides otherwise, the service is provided subject to the warranties expressly stated in an Order Form or written agreement, and implied warranties are excluded to the extent legally permitted.
12. Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, loss of profits, or loss caused by matters outside its reasonable control. Any contractual liability cap or special allocation of risk stated in an Order Form or signed agreement will prevail over this general clause. Nothing excludes liability that cannot legally be excluded.
13. Governing law and disputes
These Terms are governed by the laws of the Republic of Indonesia, subject to mandatory rules that apply to the customer. The parties will first try in good faith to resolve disputes through written negotiation. The final contracting party and agreed forum will be stated in the Order Form or commercial agreement before Production launch.
14. Changes and priority
Material updates receive a new version. Where an Order Form, DPA or signed commercial agreement conflicts with these online Terms, the signed agreement controls for that conflict.
